1. Service and Account

1.1 Service Overview

The Service provides tools for social media management and automation, including:

• Scheduling and publishing posts on various social media platforms (YouTube, X/Twitter, LinkedIn, TikTok, Facebook, Instagram)
• AI-powered content generation and chatbot automation
• Brand identity management and avatar creation
• Video generation from links and scripts
• Media library for organizing assets
• Multi-platform social media account management
• Workspace collaboration features

1.2 Modifications to the Service

Worengin reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation. You are responsible for retaining copies of your User Content.

2. Eligibility

By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have not previously been suspended or removed from the Service
• Your use of the Service complies with all applicable laws and regulations
• You have the authority to enter into these Terms on behalf of yourself or the entity you represent

3. Accounts and Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Update this information to keep it accurate at all times
• Create a secure password and maintain its confidentiality
• Be solely responsible for all activities under your account
• Immediately notify us at support@worengin.com if you believe your account is no longer secure

We will not be liable for losses caused by unauthorized use of your account.

4. Payment Terms

4.1 Fees

Certain features require payment. All fees are in U.S. Dollars and are non-refundable except as required by law. You are responsible for any applicable taxes.

4.2 Price Changes

Worengin reserves the right to change fees with advance notice through the Service or email.

4.3 Subscription Service

Subscriptions auto-renew unless cancelled before the renewal date. To cancel, contact us at support@worengin.com or cancel through your account settings.

4.4 Free Trials

We may offer free trials. Billing begins when the trial expires unless you cancel before it ends.

5. License

Subject to your compliance with these Terms, Worengin grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Service for your personal or internal business purposes.

You may not:

• Reproduce, distribute, publicly display, or publicly perform the Service
• Modify, reverse engineer, decompile, or disassemble the Service
• Interfere with or circumvent any feature of the Service
• Rent, lease, sell, sublicense, or otherwise make the Service available to third parties
• Use the Service in any manner that could damage, disable, or overburden it

6. Ownership and Proprietary Rights

The Service and its content (excluding user-generated content) are owned by Worengin or its licensors and protected by intellectual property laws. You may not use our Materials except as expressly authorized.

7. Third-Party Terms

7.1 Third-Party Services

The Service enables you to export or import information to third-party services such as social media platforms. By using these tools, you authorize Worengin to transfer such information. Worengin is not responsible for any third-party service's use of your information.

7.2 YouTube API Services

If you connect your YouTube account, you agree to be bound by the YouTube Terms of Service. To revoke access:

1. Go to https://security.google.com/settings
2. Click "See all connections to third-party apps & services"
3. Find Worengin and remove access

7.3 TikTok

If you connect your TikTok account, you agree to comply with TikTok's Terms of Service. We use TikTok's Content Posting API solely to publish content on your behalf as instructed by you.

7.4 Meta (Facebook & Instagram)

By connecting Facebook or Instagram accounts, you agree to comply with Meta's Platform Terms. We support Meta's data deletion callback. You can revoke access from Facebook Settings > Apps and Websites.

7.5 Other Platforms

By connecting X/Twitter and LinkedIn accounts, you agree to comply with their respective terms of service and policies.

8. User Content

8.1 User Content Generally

You retain ownership of your User Content (posts, videos, images, scripts, brand assets, AI-generated content). By submitting it to Worengin, you grant us the rights necessary to operate the Service (e.g., to post on your behalf to connected platforms).

8.2 Responsibility for User Content

You are solely responsible for your User Content and represent that:

• You are the creator and owner, or have the necessary rights and consents
• Your content does not violate any third-party rights
• Your content is accurate and not misleading or harmful
• Your content complies with all applicable laws and platform terms

8.3 Content Monitoring

We have no obligation to monitor User Content but reserve the right to review and remove content that violates these Terms.

9. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any law
• Harass, threaten, or harm any other user
• Violate third-party rights, including intellectual property rights
• Post content that is unlawful, abusive, defamatory, fraudulent, obscene, or harmful
• Upload material containing viruses or malicious code
• Interfere with or disrupt the Service or connected networks
• Attempt to gain unauthorized access to the Service or other accounts
• Use automated systems to scrape or collect data from the Service
• Sell, resell, or commercially exploit the Service without permission

10. Intellectual Property Protection

Worengin respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your rights, please notify us at support@worengin.com. Repeat infringers will have their accounts terminated.

11. Term and Termination

These Terms are effective until terminated by either you or Worengin. We may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your license to use the Service will immediately cease.

12. Indemnity

You agree to indemnify, defend, and hold harmless Worengin and its affiliates from and against any losses, damages, liabilities, claims, costs, or expenses arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WORENGIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WORENGIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. WORENGIN'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

14. Dispute Resolution

All disputes arising out of or related to these Terms shall be resolved through binding arbitration. You waive the right to a trial by jury and to participate in a class action.

Opt-Out: You may opt out of arbitration within 30 days of accepting these Terms by contacting support@worengin.com.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Worengin regarding the Service.

15.2 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

15.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use constitutes acceptance.

15.4 Waiver and Severability

Failure to enforce any provision will not constitute a waiver. If any provision is invalid or unenforceable, the remaining provisions remain in full force.

15.5 Assignment

You may not assign these Terms without our consent. We may assign them without restriction.
